The second one has a much faster CPU and faster video card. Not much of a contest really. The 2nd one is definitely $ 200 better than the first (even with a slightly smaller disk and 2GB less RAM). By "much faster" I mean check out the chart in this article: http://www.tomshardware.com/reviews/Intel-Core-i7-Nehalem,2057-17.html That one's the most dramatic difference, but if you look at the other benchmarks, the i7 940 wins every one from a little bit to a lot.
